Terms of Use

1. Acceptance of Terms

Welcome to Plexi ("we," "us," or "our"). By accessing or using the Plexi application and related services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, please refrain from using our Service.

2. Eligibility

By using the Service, you represent and warrant that you are at least 18 years old or have reached the age of majority in your jurisdiction, and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. License Grant and Restrictions

a. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, strictly in accordance with these Terms.

b. Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the Service.

  • Reverse engineer or attempt to extract the source code of the software.

  • Use the Service to engage in any unlawful or prohibited activities.

  • Access the Service using automated means (e.g., bots, scrapers) without our prior written consent.

  • Interfere with or disrupt the integrity or performance of the Service.

4. User Accounts

a. Account Registration

To access certain features of the Service, you may be required to create an account ("Account"). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.

b. Account Security

You are responsible for safeguarding your Account credentials. You agree not to disclose your password to any third party and to notify us immediately of any unauthorized use of your Account.

By using the Service, you agree to:

  • Use the Service only for lawful purposes.

  • Data Mining: Collecting or harvesting any personally identifiable information from the Service.

  • Interference: Disrupting or interfering with the security or functionality of the Service.
     

7. User-Generated Content
 

a. Content Ownership

You retain ownership of any content, data, or information you submit, post, or display on or through the Service ("User Content").

b. License to Use

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and improving the Service.

c. Content Standards

You represent and warrant that your User Content:

  • Does not infringe on any third-party intellectual property rights.

  • Is not defamatory, obscene, offensive, or otherwise objectionable.

  • Does not violate any laws or regulations.
     

8. Intellectual Property Rights
 

a. Our Content

All content, trademarks, logos, and service marks on the Service, excluding User Content, are the property of Plexi or its licensors and are protected by intellectual property laws.

b. Limited License

We grant you a limited license to access and use the Service for personal, non-commercial purposes. This license does not permit you to reproduce, distribute, or create derivative works from our content without our prior written consent.
 

9. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices.
 

10. Disclaimers and Limitation of Liability
 

a. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

  • The content provided on the Service is for general informational purposes only and does not constitute legal, financial, or immigration advice.

  • Plexi is not a licensed immigration consultant, legal professional, or financial advisor. Users should consult qualified professionals for advice specific to their circumstances.

  • The content is based on publicly available information, user-generated content, and internal estimates. As such, it may be inaccurate, incomplete, or subject to change due to human error, updates in regulations, or differences across provinces or countries of origin.

  • You acknowledge and agree that reliance on any information provided by the Service is at your own risk.
     

b. Limitation of Liability
In no event shall Plexi, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, but is not limited to, reliance on the accuracy or applicability of any information provided on the Service.
 

12. Termination
 

a. Termination by Us

We may suspend or terminate your Account and access to the Service at our sole discretion, without prior notice, for any reason, including violation of these Terms.

b. Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
 

13. Governing Law and Dispute Resolution
 

a. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

b. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in the Province of Ontario. You consent to the jurisdiction of such courts.
 

14. Changes to the Terms
 

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least [30 days'] notice prior to any new terms taking effect. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
 

15. Severability
 

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent under law.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Plexi regarding the Service and supersede all prior agreements.
 

17. Waiver
 

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
 

18. Assignment
 

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a third party without consent.
